In order for a new board member to become thoroughly familiar with the foundation's organization and operation, the following foundation materials should be consulted:
A. Board Membership and Calendar
- List of board members - names, addresses, affiliations, short biographies
- Committee Lists - names, addresses (if other than board members)
- Calendar of board meetings, committee meetings, other meetings or functions attended by board members
B. Foundation Background Information
- Mission statement
- History - how the foundation was established, program milestones
- Grantmaking process descriptions, including board decision-making process
- Long-range plan
- A copy of the most recent annual report
C. Bylaws and Policies
- Articles of Incorporation and bylaws
- Board policies on:
- Attendance at meetings
- Committees (establishment, relation to board)
- Investment oversight
- Reimbursement/compensation of trustees
- Conflict of interest
- Indemnification/directors & officers liability insurance
- Board development opportunities
D. Staff
- Organizational chart
- Staff list with titles, short biographies of key staff
- Job descriptions
- Personnel policies, including performance appraisal process
E. Finance
- Budget
- Most recent audit
- Financial procedures
F. Minutes and issues
- Most recent board meeting minutes
- Description of current issues up for discussion
